MessageOS is a conversational AI messaging platform that enables Clients to engage End Users through Rich Communication Services (RCS) and Short Message Service (SMS) channels. The Platform includes:
(a) Ezra AI Agent Framework. An AI-powered conversational agent that automates End User interactions on behalf of Clients, including but not limited to appointment scheduling, service inquiries, customer support, promotional engagement, and transactional communications.
(b) Campaign Management. Tools and dashboards for creating, managing, and monitoring messaging Campaigns across RCS and SMS channels.
(c) Compliance Infrastructure. Automated systems for processing Reserved Keywords, managing opt-in and opt-out records, maintaining suppression lists, and enforcing regulatory compliance at the platform level.
(d) Analytics and Reporting. Conversation-level and Campaign-level reporting, delivery metrics, and engagement analytics.
(e) SMS Fallback. Automatic fallback to SMS when an End User's device or Carrier does not support RCS, ensuring message delivery continuity.
To use the Platform, you must: (a) be at least 18 years of age; (b) be a duly organized and validly existing business entity or an individual with the legal capacity to enter into binding agreements; (c) provide accurate, current, and complete registration information; and (d) maintain the accuracy of such information throughout the term of your use.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify MessageOS of any unauthorized use of your account or any other breach of security.
Clients are required to complete agent and brand verification as mandated by Google RCS Business Messaging requirements and applicable Carrier policies prior to launching any RCS Campaign. MessageOS will assist Clients with the registration process, but Clients are solely responsible for providing accurate business information, branding assets, and use case descriptions. Inaccurate or incomplete submissions that result in registration rejection or delays are the responsibility of the Client.
For SMS messaging, Clients must complete applicable campaign registration through The Campaign Registry (TCR), 10DLC, toll-free, or short code registration processes as required by Carriers. MessageOS will facilitate registration where applicable, but Clients remain responsible for ensuring that live Campaigns match submitted registration details at all times.
All messaging conducted through the Platform is subject to, and must comply with:
Clients bear sole responsibility for obtaining and maintaining proper consumer consent before initiating any messaging through the Platform. Specifically, Clients must:
(a) Obtain prior express written consent from End Users before sending any marketing, promotional, or advertising messages. Such consent must: (i) be provided through a clear and conspicuous written disclosure (which may be electronic); (ii) clearly identify the Client as the specific sender; (iii) describe the type and purpose of messages the End User will receive; (iv) disclose the expected message frequency; (v) include a statement that "Message and data rates may apply"; (vi) include clear opt-out instructions (e.g., "Reply STOP to opt out"); (vii) not be a condition of purchase or service; and (viii) comply with the E-SIGN Act for electronic consent.
(b) Obtain prior express consent (which may be written or oral) for informational or transactional messages, provided such messages contain no promotional content whatsoever. Any inclusion of promotional content in a transactional message elevates the consent requirement to prior express written consent.
(c) Send a confirmation message upon opt-in that includes: the Client's program or brand name, a description of the messaging program, message frequency disclosure, "Message and data rates may apply" disclosure, opt-out instructions, and a link to the Client's terms and privacy policy.
(d) Maintain accurate, timestamped records of all consumer consent, including the method of consent, the date and time consent was obtained, the specific consent language presented, and the specific Campaign to which the consent applies. Consent records must be retained for a minimum of four (4) years.
(e) Never purchase, rent, sell, or share opt-in lists or consumer consent records with third parties.
(f) Respect quiet hours as established by applicable state laws and industry best practices.
MessageOS will: (a) provide Clients with tools to manage and document consent records; (b) enforce platform-level suppression lists to prevent messages from being sent to opted-out numbers; (c) automatically process all Reserved Keyword opt-out requests at the platform level; (d) provide Clients with opt-out logs and compliance reporting; and (e) cooperate with Carriers and regulatory authorities as required by law.
Clients must scrub their messaging lists against the National Do Not Call (DNC) Registry and maintain internal do-not-contact lists. MessageOS does not provide DNC scrubbing services, and Clients are solely responsible for ensuring that their messaging lists comply with all applicable DNC requirements.
In strict compliance with CTIA Messaging Principles and Best Practices and Carrier requirements, MessageOS recognizes and automatically processes the following Reserved Keywords submitted by End Users via RCS or SMS. These keyword-processing mechanisms are enforced at the platform level and cannot be overridden, disabled, modified, or suppressed by Clients.
When an End User sends any of the following keywords, STOP, UNSUBSCRIBE, CANCEL, QUIT, END, or STOPALL, the Platform will:
(a) Immediately cease all messaging to that End User's phone number for the applicable Campaign. In the case of STOPALL, messaging will cease across all of the Client's active Campaigns.
(b) Send a single, non-promotional confirmation message acknowledging the opt-out (e.g., "You have been unsubscribed from [Program Name]. No further messages will be sent. Reply START to re-subscribe or HELP for assistance.").
(c) Add the End User's phone number to the Platform's suppression list for the applicable Campaign(s).
(d) Ensure that no further messages of any kind are sent to the opted-out End User unless and until the End User provides new, valid express consent by sending an Opt-In Keyword.
(e) Process the opt-out request immediately upon receipt. Under FCC rules effective April 11, 2025, opt-out requests must be honored no later than ten (10) business days; however, MessageOS processes all opt-outs in real time.
When an End User sends the keyword HELP, the Platform will respond with a message containing:
(a) The Client's program or brand name and a brief description of the messaging program.
(b) Customer support contact information, including at minimum an email address and/or telephone number.
(c) Opt-out instructions (e.g., "Reply STOP to unsubscribe").
(d) A link to the Client's applicable terms of service and privacy policy.
(e) A statement that "Message and data rates may apply."
Clients are responsible for configuring accurate HELP response content within the Platform. If a Client fails to configure HELP response content, MessageOS will provide a default response containing MessageOS contact information and generic opt-out instructions.
When a previously opted-out End User sends the keyword START, YES, or UNSTOP, the Platform will:
(a) Re-subscribe the End User to the applicable Campaign, provided the original consent framework remains valid.
(b) Send a confirmation message acknowledging the re-subscription, including program name, message frequency, "Message and data rates may apply," and opt-out instructions.
(c) Remove the End User's phone number from the suppression list for the applicable Campaign.
Reserved Keyword processing is a non-negotiable, platform-enforced compliance requirement. No Client configuration, API integration, automation rule, or Ezra AI Agent behavior may intercept, delay, modify, suppress, or override the processing of Reserved Keywords. Any attempt to circumvent Reserved Keyword processing constitutes a material breach of these Terms and may result in immediate account suspension or termination.
All messaging content transmitted through the Platform must: (a) clearly identify the Client as the sender; (b) be truthful, non-deceptive, and not misleading; (c) be consistent with the use case and Campaign description submitted during registration; (d) comply with all applicable laws, regulations, and Carrier content policies; and (e) meet editorial and technical standards for grammar, spelling, and media quality as required by Google RCS for Business and applicable Carrier policies.
Clients may not use the Platform to transmit:
(a) Unsolicited messages, spam, or messages sent without proper consumer consent.
(b) Content that constitutes phishing, smishing, vishing, or any form of social engineering or deceptive messaging.
(c) SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco) unless explicitly approved by the applicable Carrier and in compliance with all applicable laws.
(d) Content promoting illegal products, services, or activities.
(e) Content that infringes upon the intellectual property rights of any third party.
(f) Content that is threatening, harassing, defamatory, obscene, or otherwise objectionable.
(g) Content promoting counterfeit or replica goods.
(h) Content promoting products or services that may cause bodily harm, including but not limited to drugs, drug paraphernalia, and weapons.
(i) Political campaign content, opinion polls, election integrity discussions, or election predictions, except as permitted by applicable Carrier and Google RCS policies and in compliance with all applicable laws.
(j) Content that impersonates or misrepresents the identity of the sender.
(k) Content designed to exploit, mislead, or defraud End Users.
MessageOS reserves the right to monitor, review, and audit messaging content transmitted through the Platform to ensure compliance with these Terms, applicable laws, and Carrier policies. MessageOS may, in its sole discretion, suspend or remove any content or Campaign that violates these Terms or poses a risk to the messaging ecosystem.
Ezra is an artificial intelligence conversational agent. When Ezra interacts with End Users on behalf of a Client:
(a) AI Disclosure. End Users will be informed, at or before the initiation of any AI-assisted conversation, that they are communicating with an AI-powered assistant. Clients may not configure Ezra in a manner that conceals or obscures the fact that the End User is interacting with an automated system.
(b) No Professional Advice. Ezra's responses are generated algorithmically and do not constitute professional, legal, medical, financial, or any other form of regulated advice. MessageOS makes no representations or warranties regarding the accuracy, completeness, or suitability of AI-generated responses for any particular purpose.
(c) Client Configuration Responsibility. Clients are responsible for reviewing and configuring Ezra's behavior, response parameters, knowledge base content, escalation rules, and handoff procedures to ensure compliance with their industry-specific regulations and business requirements.
(d) Human Escalation. Clients must configure Ezra with the capability to escalate or hand off conversations to a live human agent when requested by an End User or when the conversation exceeds the AI agent's configured scope.
(e) Continuous Improvement. MessageOS continuously improves Ezra's capabilities, algorithms, and models. Updates may alter response behavior. Clients are responsible for monitoring and validating Ezra's performance in connection with their specific use cases.
AI-generated responses are provided "as is." Clients assume full responsibility for the accuracy, appropriateness, and regulatory compliance of all information delivered to End Users through the AI Agent, whether generated by Ezra or configured by the Client.
When Ezra operates within an RCS conversation, all Google RCS for Business Acceptable Use Policy requirements apply, including but not limited to: (a) clearly informing End Users at the point of entry (e.g., QR code, tap-to-chat) of the type of content and interactions they should expect; (b) responding only with communications relevant to the End User's inquiry; and (c) complying with all Communication Services documentation requirements.
MessageOS pricing is based on a per-conversation model. A "Conversation" is defined as a messaging session initiated by either the Client or the End User, subject to the session window and parameters defined in the Client's subscription tier (Starter, Growth, or Enterprise).
Pricing details, including per-conversation rates, monthly subscription fees, included conversation volumes, and overage rates, are set forth in the applicable subscription agreement, order form, or pricing schedule provided to the Client at the time of enrollment.
The following interactions are not counted as Conversations for billing purposes: (a) Reserved Keyword responses, including opt-out confirmation messages, HELP responses, and opt-in confirmation messages; (b) system-generated compliance messages required by law or Carrier policy; and (c) messages blocked or suppressed by the Platform's compliance systems.
MessageOS reserves the right to modify pricing with not less than thirty (30) days' prior written notice. Continued use of the Platform after the effective date of a pricing change constitutes acceptance of the updated pricing.
Clients acknowledge that Carrier pass-through fees, surcharges, and per-message costs imposed by Carriers or their affiliates may apply in addition to MessageOS platform fees. Such fees are the responsibility of the Client and will be disclosed in the applicable pricing schedule.
All rights, title, and interest in and to the Platform, including Ezra, its underlying technology, algorithms, models, training data, documentation, trademarks, trade dress, and branding, are and remain the exclusive property of MessageOS. Nothing in these Terms grants the Client any rights in MessageOS's intellectual property except the limited license to use the Platform as described herein.
Clients retain ownership of their content, data, branding assets, and business information uploaded to or transmitted through the Platform. By uploading content to the Platform, Clients grant MessageOS a limited, non-exclusive, royalty-free license to use, process, transmit, and store such content solely for the purpose of providing the Platform services and for no other purpose.
Any suggestions, enhancement requests, recommendations, or other feedback provided by a Client regarding the Platform may be used by MessageOS without restriction or obligation.
MessageOS processes messaging data on behalf of Clients as a data processor. The categories of data processed, the purposes of processing, and the rights and obligations of each party with respect to data processing are described in the Privacy Policy and, where applicable, in a Data Processing Agreement executed between the parties.
Clients acknowledge and agree that messages sent through RCS for Business may be made available to the Carrier over whose network the Client's RCS agent is launched, and that Google may process the contents of messages sent via RCS for Business for the purposes of spam detection and prevention as described in Google's RCS for Business Terms of Service and Data Processing Addendum.
MessageOS implements industry-standard technical and organizational security measures to protect data processed through the Platform. These measures are described in the Privacy Policy.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MESSAGEOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOST REVENUE, BUSINESS INTERRUPTION, COST OF SUBSTITUTE SERVICES, OR DAMAGE TO BUSINESS REPUTATION, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF MESSAGEOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
MESSAGEOS'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CLIENT TO MESSAGEOS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
MessageOS is not liable for: (a) message delivery failures, delays, or errors caused by Carrier networks, device incompatibility, or network outages; (b) Carrier-imposed message filtering, blocking, or throttling; (c) changes in Carrier policies, fees, or infrastructure that affect message delivery; (d) interruptions to Google RCS for Business services; or (e) force majeure events.
You agree to indemnify, defend, and hold harmless MessageOS and its respective officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your use of the Platform; (b) your messaging content, Campaigns, or AI Agent configurations; (c) your failure to obtain or maintain proper consumer consent; (d) your violation of these Terms; (e) your violation of any applicable law, regulation, or Carrier policy; (f) any claim by an End User arising from messages sent through your account; or (g) any claim by a Carrier or regulatory authority arising from your use of the Platform.
MessageOS will indemnify and defend you against third-party claims alleging that the Platform itself (excluding your content, configurations, and messaging Campaigns) infringes the intellectual property rights of a third party, provided that you promptly notify MessageOS of the claim and cooperate in the defense.
These Terms are effective upon your acceptance and continue until terminated by either party as provided herein.
Either party may terminate the service relationship with thirty (30) days' prior written notice to the other party.
MessageOS may suspend or terminate your account immediately, without prior notice, if: (a) you materially breach these Terms; (b) you engage in messaging practices that violate TCPA, CTIA, or Carrier requirements; (c) a Carrier or Google suspends or revokes your RCS agent or Campaign registration; (d) you engage in fraudulent, deceptive, or abusive messaging practices; (e) your account activity poses a risk to the messaging ecosystem, other Clients, or MessageOS's relationships with Carriers; or (f) you fail to pay fees when due after receiving written notice of non-payment.
Upon termination: (a) your access to the Platform will cease immediately; (b) all active Campaigns will be deactivated; (c) MessageOS will retain consent records and opt-out logs for the legally required retention period; (d) you remain liable for all fees incurred prior to termination; and (e) Sections 5 (Messaging Compliance), 6 (Reserved Keywords), 10 (Intellectual Property), 12 (Limitation of Liability), 13 (Indemnification), and 15 (General Provisions) survive termination.
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws provisions.
Any dispute arising from these Terms shall first be submitted to good faith mediation. If mediation fails to resolve the dispute within thirty (30) days, the dispute shall be resolved by binding arbitration in Orlando, Florida, in accordance with the rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
MessageOS reserves the right to modify these Terms at any time. Material changes will be communicated with at least thirty (30) days' prior notice via email or through the Platform. Continued use of the Platform after the effective date of any modification constitutes acceptance of the modified Terms.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy, any executed order forms, and any Data Processing Agreements, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, and understandings.
You may not assign or transfer these Terms or any rights hereunder without the prior written consent of MessageOS. MessageOS may assign these Terms without restriction.
The failure of MessageOS to enforce any provision of these Terms shall not constitute a waiver of such provision or the right to enforce it at a later time.
All notices under these Terms shall be in writing and delivered to the email address on file for the applicable party. Notices to MessageOS shall be sent to: legal@messageos.ai.
Neither party shall be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, Carrier outages, internet disruptions, government actions, or acts of terrorism.
